The terms within the signed Services Agreement are customized for each client and will supersede any conflicting terms found in this general Terms of Service.

1. Introduction
Welcome to Demand Inc. These Terms of Service (“Terms”) govern your use of our website and services. By accessing or using our services, you agree to comply with these Terms. If you do not agree to these Terms, you must refrain from using our services.

2. Services Provided
Demand Inc provides sales, marketing, and business development services, including but not limited to:

3. Client Engagement
The scope of work and services provided will be outlined in individual client agreements. Each client agreement may contain specific terms that include, but are not limited to:

4. Pricing and Payment Terms

All payments are due within the timeframe outlined in the signed Services Agreement. Late payments may be subject to additional charges as specified in the Services Agreement.

Client engagements typically start with an initial commitment period as outlined in the Services Agreement. Clients may choose to extend the engagement after the initial period, subject to mutually agreed terms.

6. Client Obligations
The client agrees to provide Demand Inc with all necessary information, access to tools, and data to execute the outreach and business development services. Failure to provide required materials may result in delays or suspension of services.

7. Confidentiality
Both parties agree to keep all non-public information confidential, including but not limited to client data, contacts, and outreach strategies. Demand Inc will take all reasonable precautions to protect the confidentiality of the client’s information.

8. Intellectual Property
All materials, strategies, messaging, and data developed during the engagement remain the intellectual property of Demand Inc unless otherwise stated in the client agreement. Clients are granted a non-exclusive license to use these materials during the course of the engagement.

9. Termination
Either party may terminate the agreement by providing notice as outlined in the Services Agreement. In the event of termination, the client is responsible for all services rendered up to the termination date, including any outstanding fees. Demand Inc reserves the right to terminate services immediately for failure to comply with these Terms or non-payment of fees.

10. Limitation of Liability
Demand Inc is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the fees paid by the client in the period preceding the claim.

11. Dispute Resolution
Any disputes arising out of or relating to these Terms will be governed by the laws of the State of California. Both parties agree to resolve disputes through binding arbitration before initiating any legal action.

12. Changes to Terms
Demand Inc reserves the right to modify these Terms at any time. Any changes will be posted on our website, and continued use of the services after such changes are made constitutes acceptance of the updated Terms.

13. Governing Agreement
These Terms of Service are governed by the specific Services Agreement signed between Demand Inc and the client. The Services Agreement will outline varying terms, such as the retainer, performance bounty, and level of service engagement. In the event of any conflict between these Terms and the signed Services Agreement, the terms of the Services Agreement will prevail.
